PHARMACY & LABORATORY VENDOR AGREEMENT

This Pharmacy & Laboratory Vendor Agreement (“Agreement”) is entered into by and between:

TenaFirst Plus (Tenafirst.com or my.tenafirst.com), a digital health platform operating under the laws of the Federal Democratic Republic of Ethiopia (hereinafter referred to as the “Platform”), located at Bole Subcity, Woreda 04, House No: 310, Addis Ababa, Ethiopia;

(hereinafter referred to as the “Vendor”).

TenaFirst Plus and the Vendor shall collectively be referred to as the “Parties.”

1. AGREEMENT OVERVIEW

This Agreement governs the partnership between TenaFirst Plus and the Vendor who accepts, processes, fulfills, or accesses orders through the Platform.

By onboarding, accessing, viewing, or fulfilling orders via the Platform, the Vendor agrees to comply fully with this Agreement.

2. VENDOR ELIGIBILITY

2.1 The Vendor must hold a valid and current business license issued by the appropriate Ethiopian regulatory authority.

2.2 Pharmacies must:

  • Maintain an active authorized pharmacy license

  • Hold a valid Trade License in Ethiopia

2.3 Laboratories must:

  • Hold appropriate accreditation and inspection approvals

  • Comply with national laboratory quality and safety standards

2.4 The Vendor shall comply with all applicable Ethiopian laws related to health services, patient safety, consumer protection, and data protection.

Failure to maintain compliance may result in immediate suspension or termination.

3. SCOPE OF SERVICES

3.1 The Vendor shall receive, process, and fulfill orders placed through the Platform.

3.2 Pharmacies shall:

  • Dispense medications strictly as prescribed

  • Not substitute medications without doctor approval

3.3 Laboratories shall:

  • Conduct diagnostic tests using approved procedures

  • Deliver accurate and timely results

3.4 The Vendor shall not alter, modify, or falsify prescriptions, results, or services.

3.5 Product & Service Listing, Activation, and Pricing

3.5.1 The Vendor shall access the standardized laboratory test list and medicine/product catalog available on the TenaFirst Plus dashboard.

3.5.2 The Vendor is responsible for enabling (activating) the laboratory tests and medicines/products they offer.

3.5.3 Only enabled tests and medicines/products shall be visible to doctors for ordering.

3.5.4 The Vendor shall independently set, maintain, and update pricing.

3.5.5 The Vendor shall ensure:

  • Accuracy of all listings

  • Proper pricing

  • Availability of enabled services/products

3.5.6 Medicines must comply with prescription and regulatory requirements.

3.5.7 TenaFirst Plus is not responsible for Vendor errors in configuration, pricing, or availability.

4. ORDER MANAGEMENT

4.1 Orders must be confirmed within fifteen (15) minutes.

4.2 The Vendor shall fulfill orders professionally and on time.

4.3 The Vendor must report:

  • Stockouts

  • Delays

  • Service unavailability

  • Technical issues

4.4 Maintain high responsiveness and service quality.

5. PRICING AND PAYMENTS (COMMISSION MODEL)

5.1 Commission-Based Model

5.1.1 The Platform operates on a commission-based model.

5.1.2 A 5% commission shall be deducted from each completed transaction (lab test or medicine).

5.2 Automated Deduction System

5.2.1 The system automatically calculates commission.

5.2.2 Commission is automatically deducted from the Vendor wallet.

5.2.3 The Vendor has visibility of:

  • Gross amount

  • Commission

  • Net balance

5.3 Vendor Wallet Requirement

5.3.1 The Vendor must maintain a positive wallet balance.

5.3.2 If the balance is insufficient:

  • Orders may be restricted

  • Access may be limited

5.3.3 The Vendor must top up the wallet when required.

5.4 Financial & Tax Responsibility

5.4.1 The Vendor is responsible for:

  • Pricing

  • Tax invoices

  • Compliance with Ethiopian tax laws

5.4.2 TenaFirst Plus is responsible for taxes on its commission.

5.4.3 Each Party shall independently declare and pay its own taxes in accordance with Ethiopian law.

5.4.4 TenaFirst Plus is not responsible for Vendor pricing errors.

5.5 Dispute Resolution

5.5.1 Disputes must be reported within seven (7) days.

5.5.2 Resolution shall be based on system records.

6. DATA PROTECTION AND CONFIDENTIALITY

The Vendor shall:

  • Protect patient data

  • Use data only for service fulfillment

  • Not disclose or misuse data

  • Implement proper security measures

7. QUALITY ASSURANCE

The Vendor must:

  • Provide safe and authentic products/services

  • Avoid expired or counterfeit items

  • Maintain proper storage and equipment

  • Accept audits

8. MEDICO-LEGAL RESPONSIBILITY

The Vendor is fully responsible for:

  • Incorrect lab results

  • Wrong or expired medications

  • Negligence or malpractice

The Vendor shall:

  • Assume full legal liability

  • Cooperate with authorities

  • Indemnify TenaFirst Plus

9. VENDOR RESPONSIBILITIES

The Vendor shall:

  • Deliver services professionally

  • Maintain inventory accuracy

  • Provide customer support

  • Report safety issues

  • Follow Platform rules

10. LIMITATION OF LIABILITY

TenaFirst Plus acts only as a facilitator.

It is not liable for:

  • Medical errors

  • Dispensing mistakes

  • Lab inaccuracies

  • Vendor negligence

11. TERMINATION

11.1 Either Party may terminate with 30 days notice.

11.2 Immediate termination may occur in cases of:

  • Non-compliance

  • Fraud

  • Patient risk

  • Data violation

  • Misconduct

12. GOVERNING LAW

This Agreement is governed by the laws of Ethiopia.

13. ACCEPTANCE OF TERMS

Use of the Platform constitutes full acceptance of this Agreement.

14. RIGHT TO MODIFY

TenaFirst Plus may update this Agreement at any time. Continued use constitutes acceptance.
