Confidential Agreement


TenaFirst Plus PLC: Data Protection and Confidentiality Agreement

This Agreement is entered into by and between: TenaFirst Plus PLC (Hereinafter referred to as the "Company") and    (Hereinafter referred to as the "Employee") Effective Date:

  1. Purpose

This agreement sets out the terms under which the Employee shall handle personal data and confidential information accessed during their employment with TenaFirst Plus PLC.

  1. Definitions
  • Confidential Information: Any and all information, emails, software, data, documents, business secret, materials, or knowledge relating to the business, operations, clients, patients, suppliers, or partners of TenaFirst Plus that is not publicly available.
  • Personal Data: Information relating to an identifiable individual, including but not limited to name, identification number, contact information, medical data, and financial details.
  • Processing: Any operation or set of operations performed on personal data, whether automated or not, including collection, recording, storage, alteration, use, or disclosure.
  1. Employee Obligations

The Employee agrees to:

  1. Maintain Confidentiality: Keep all confidential information strictly confidential and not disclose it to any unauthorized person or third party during or after their employment.
  2. Protect Personal Data: Process personal data lawfully, fairly, and transparently, ensuring its confidentiality, integrity, and availability.
  3. Limit Access: Access personal or confidential information strictly on a need-to-know basis to fulfill their duties.
  4. Secure Data: Comply with company data security protocols including the use of secure systems, passwords, and physical security measures.
  5. Report Breaches: Immediately report any actual or suspected data breach or unauthorized disclosure to the designated Data Protection Officer (DPO) or Compliance Manager.
  6. Prohibited Actions

The Employee shall not:

  • Use confidential or personal information for personal gain or for the benefit of any third party.
  • Disclose, copy, share, or transfer confidential information without written authorization.
  • Retain or store confidential data on personal devices or outside company systems.
  1. Return or Destruction of Information

Upon termination of employment, or upon request by the Company, the Employee must return or securely destroy all confidential and personal data in their possession.

  1. Legal Compliance

The Employee acknowledges and agrees to comply with:

  • The Ethiopia Data Protection Law (Personal Data Protection Proclamation No. 1321/2024(PDPP 2024) of Government of Ethiopia.
  • Any other applicable data protection legislation and internal company policies
  1. Consequences of Breach

Any breach of this Agreement may result in:

  • Disciplinary action, up to and including dismissal
  • Civil or criminal liability under applicable laws
  • Personal liability for damages arising from negligent or willful misconduct
  1. Duration of Obligation

These obligations shall remain in effect:

  • During the term of employment
  • And for a period of five (5) years after the termination of employment, or longer where required by law.
  1. General Provisions
  • Governing Law: This Agreement shall be governed by the laws of  The Federal Democratic Republic of Ethiopia.
  • Entire Agreement: This Agreement represents the entire understanding between the parties concerning confidentiality and data protection.
