CONTENT CREATOR AGREEMENT

INDEPENDENT CONTRACTOR AGREEMENT
This Agreement is made and entered into on this , 2025, by and between:

TenaFirst Plus, with its principal office located at [Insert Company Address] (hereinafter referred to as the “Company”),
and
Dr. , a licensed medical doctor, residing at [Insert Address] (hereinafter referred to as the “Contractor”).

Scope of Work

The Contractor agrees to provide the following services for the Company’s social media platforms (primarily TikTok and Instagram):

Write medically accurate and engaging scripts.
Film and deliver original short-form videos (TikTok format).
Participate in live Q&A sessions as needed.
Ensure that all content complies with applicable medical ethics, regulations, and social media policies.

Pricing & Compensation

The Contractor will be compensated according to the following structure:

Content Type	Description	Rate (ETB)
📘 Scripted Video Content	Script + filming for 1 video	400 ETB per video
💼 Monthly Package II	3 videos/week + 1 live session/month	5,000 ETB per month
🔴 Live Q&A Session	1-hour live session (TikTok or Instagram Live)	650 ETB per session

Payment Terms:

Monthly package payments are due at the start of each month.
Individual services (e.g., per video or live session) will be paid within 5 business days of delivery.
All payments will be made via [Bank Transfer / Mobile Money / Cash – specify].

Term

This Agreement shall begin on the effective date above and continue on a monthly rolling basis unless terminated under Section 7.

Ownership and Intellectual Property

All deliverables (scripts, video content, etc.) created under this Agreement are considered work for hire and are the exclusive property of TenaFirst Plus upon payment. The Contractor agrees to transfer all intellectual property rights to the Company.

Confidentiality

The Contractor shall maintain the confidentiality of all proprietary information, medical data, and internal content strategies.

Content Ethics & Compliance

The Contractor agrees:

To ensure all information presented is medically sound and evidence-based.
To include disclaimers when content is general advice and not a substitute for consultation.
Not to endorse unapproved treatments, medications, or misinformation.

Termination

Either party may terminate this Agreement with 15 days written notice.
In the event of early termination:

The Contractor will be paid for all completed and approved content.
Unused live sessions or unfilmed content in prepaid packages will be prorated and refunded or credited.

Independent Contractor Relationship

The Contractor is an independent service provider and is not an employee of the Company. The Contractor is responsible for their own taxes, licenses, and insurance.

Indemnification

The Contractor agrees to indemnify and hold harmless the Company against any legal claims arising from their professional conduct, misrepresentation, or regulatory violations in connection with content creation.

Governing Law

This Agreement shall be governed in accordance with the laws of the Federal Democratic Republic of Ethiopia.
