SOFTWARE DEVELOPMENT AGREEMENT

This Software Development Agreement (“Agreement”) is made and entered into on thisMay 27, 2026 day of 2026.

1. Parties

Developer: Abrham Assefa Location Addis Ababa, Ethiopia Phone: 0911739679 (Hereinafter referred to as the “Developer”)

The Client and Developer may collectively be referred to as the “Parties.”

2. Purpose

This Agreement defines the terms under which the Developer shall design and develop a B2C online platform for the Client, including backend administration, website frontend, and an iOS mobile application.

3. Scope of Work

The Developer agrees to:

Design and develop a B2C online platform.
Develop a backend admin panel for managing users, content, and system settings.
Develop a website frontend allowing customers to:
- Register accounts
- Access services/products as defined in the system specification
Develop a mobile application for iOS only.
Publish the iOS application to the Apple App Store using the Client’s Apple Developer Account.

Included Features:

Secure authentication system
Admin dashboard
Responsive website design
API integration between website and mobile app
Basic system security implementation

Any feature not expressly listed shall be considered out-of-scope and subject to additional written agreement.

4. Client Responsibilities

The Client shall provide:

Website content (text, policies, product/service descriptions)
Logo and branding materials
Images and multimedia content
Apple Developer Account access
Domain name
Hosting server and credentials

Delays in providing required materials may result in extension of the project timeline.

5. Project Duration

The total project duration shall be 3 (three) months, starting from:

The date of signing this Agreement, and
Receipt of the 40% advance payment, and
Receipt of all required materials and credentials from the Client.

6. Fees and Payment Terms

Total Project Cost:

175,000 ETB (One Hundred Seventy five Thousand Ethiopian Birr)

Payment Structure:

40% Advance Payment: 70,000 ETB
Payable upon signing this Agreement. Work will commence only after receipt of this payment.
60% Final Payment: 100,000 ETB
Payable upon completion of the project and before final deployment and App Store publishing.

Failure to complete payment may result in suspension of deployment, source code transfer, or App Store submission.

7. Intellectual Property

Upon full payment of the total agreed amount:

The Client shall own the completed website and mobile application.
The Developer retains the right to showcase the project in portfolio materials unless otherwise agreed in writing.

Any third-party tools remain subject to their respective licenses.

8. Testing and Acceptance

Upon completion, the Developer shall deliver the system for review.

The Client shall provide feedback within 7 business days.

If no written objections are received within this period, the system shall be considered accepted.

Bug fixes reported within 3 months after delivery shall be corrected at no additional cost.

9. Maintenance and Support

This Agreement does not include long-term maintenance or hosting management.

Any additional support or maintenance services shall require a separate agreement.

10. Confidentiality

Both Parties agree to keep confidential all proprietary and sensitive information shared during the project.

11. Limitation of Liability

The Developer shall not be liable for:

Hosting/server downtime
Apple App Store rejection due to policy or content violations
Legal issues arising from Client-provided content
Third-party service failures

The Developer’s total liability shall not exceed the total amount paid under this Agreement.

12. Termination

Either Party may terminate this Agreement in case of material breach.

In case of termination:

The advance payment (40%) is non-refundable once development has commenced.
The Client shall pay for all completed work up to the termination date.

13. Governing Law

This Agreement shall be governed in accordance with applicable laws mutually agreed by the Parties.

14. Entire Agreement

This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions.

Any amendments must be in writing and signed by both Parties.
